Protected ISA Documents

We offer some of our documents for funders and potential partners. These documents are protected by a non-disclosure agreement.

CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT (NDA)

The following rules define the manner of handling non-public data of any kind and form between ISA InterStellarAssociation (Information Provider) and you (Information Recipient) for the purpose of evaluating a collaboration in any form.

The Information Recipients commit to using all non-public data only for the stated purpose. Any further use requires the written consent of the Information Provider.

The Information Recipients commit to keeping all non-public data secure and not disclosing it to third parties. Only the signatory is authorized to view the non-public data. Any forwarding is prohibited. If additional persons require access, they must sign this NDA prior to accessing the data.

The password received by the Information Recipients to access all non-public data must not be made accessible to other parties in any way of form.

The obligations in the preceding Articles apply to all data made accessible by the Information Provider to the Information Recipients, regardless of the manner in which the data is made accessible or recorded. These obligations do not apply to data that is publicly accessible (unless it is the result of a breach of this agreement).

The Information Recipients, upon request of the Information Provider, will return all copies and records of the non-public data to the Information Provider and will not retain any copies or records of the non-public data.

Neither this agreement nor the provision of data grants the Information Recipients a license, interest, or right regarding the intellectual property rights of the Information Provider.

The obligations remain in effect indefinitely from the date of this agreement.

A breach of this agreement does not release the Information Recipients from this agreement. The agreement remains in effect, and the condition prior to the breach of the agreement is to be restored immediately.

This agreement is subject to Swiss law and shall be interpreted in accordance with it. The Swiss courts have exclusive jurisdiction over all disputes arising out of or in connection with this agreement.

Art. 162 Breach of Manufacturing or Trade Secrets
Anyone who divulges a manufacturing or trade secret that he or she is obligated to preserve due to a legal or contractual duty, or who exploits the disclosure for himself or another, shall be punished, upon request, with imprisonment of up to three years or a fine.


Art. 273 Economic Espionage
Anyone who investigates a manufacturi

ng or trade secret to make it accessible to a foreign official authority or a foreign organization or private enterprise or their agents, or who makes a manufacturing or trade secret accessible to a foreign official authority or a foreign organization or private enterprise or their agents, shall be punished with imprisonment of up to three years or a fine, in severe cases with imprisonment of not less than one year. Imprisonment may be combined with a fine.
